Welcome to Sure, an AI-powered technical due diligence Software-as-a-Service (SaaS) platform operated by ySure AB, a company registered in Sweden with registered office at Kungsgatan 12, 111 21 Stockholm, Sweden("Sure", "we", "us", or "our"). Please read these Terms and Conditions ("Terms") carefully before using our services. By accessing or using Sure's platform, you agree to be bound by these Terms.

1. Definitions

  • "Service" refers to Sure's SaaS platform, including all related features, algorithms, APIs, and user interfaces.
  • "Client" or "You" refers to the organization or individual subscribing to or accessing the Service.
  • "Content" means all data, information, reports, and documents provided to or generated by the Service.
  • "Subscription" means the license granted to you to use the Service under a paid or trial plan.

2. Eligibility and Access

To use the Service, you must be at least 18 years old and have the legal capacity to enter into a binding contract. You agree to provide accurate and complete registration information and to keep this information up to date.

3. Use of the Service

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Reverse engineer, decompile, or disassemble any portion of the Service;
  • Use the Service to infringe on intellectual property rights or other rights;
  • Use the Service for high-risk activities or in violation of any applicable laws or regulations.

4. Subscription and Fees

Your use of the Service is subject to the payment of applicable fees. Subscription tiers, billing terms, and payment methods are described on our pricing page or in your custom agreement. Failure to pay may result in suspension or termination of access.

5. Intellectual Property

All intellectual property rights in the Service, including software, algorithms, and branding, are owned by Sure or its licensors. These Terms do not transfer any ownership rights to you. You retain ownership of any data or content you upload or generate using the Service.

6. Confidentiality

Each party agrees to maintain the confidentiality of all information disclosed by the other party that is marked as confidential or that reasonably should be understood to be confidential, including technical and business information.

7. Data Protection and Privacy

Sure complies with the General Data Protection Regulation (GDPR) and applicable European data protection laws. We process personal data as described in our Privacy Policy. Clients are responsible for ensuring they have appropriate legal bases for processing personal data within the Service.

8. AI Disclaimers and Limitations

The Service uses AI to assist in generating due diligence analyses. The output provided is for informational purposes only and should not be interpreted as legal, financial, or investment advice. Sure does not guarantee the accuracy, completeness, or suitability of AI-generated results for any specific purpose.

9. Availability and Support

We aim to provide the Service with reasonable uptime and support. However, we do not guarantee uninterrupted availability and reserve the right to perform maintenance and updates.

10. Termination

Either party may terminate the Subscription with written notice, subject to any minimum term specified in the Subscription. Sure may suspend or terminate your access if you breach these Terms. Upon termination, your access to the Service will cease, and Sure may delete your data after 30 days, unless required by law to retain it.

11. Liability and Indemnity

To the extent permitted by law, Sure shall not be liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount paid by you for the Service during the twelve months preceding the claim. You agree to indemnify Sure against claims arising from your use of the Service or violation of these Terms.

12. Governing Law and Jurisdiction
